#ARENASBABE UGC Terms

Arenas Boutique (“Arenas,” “we,” “us,” or “our”) loves seeing how our community styles and enjoys Arenas products. The #ARENASBABE community gives customers and supporters an opportunity to share their style and, with permission, be featured by Arenas.
These #ARENASBABE User-Generated Content Terms (“UGC Terms”) explain how Arenas may request and receive permission to use photos, videos, Stories, Reels, posts, captions, reviews, comments, usernames, social media handles, and other content created by members of our community (“User Content” or “UGC”).
1. Participating in #ARENASBABE
You may participate by sharing content featuring Arenas Boutique products, tagging @shop.arenas, and/or using #ARENASBABE on social media.
Tagging @ShopArenas or using #ARENASBABE allows Arenas to discover your content and may give you an opportunity to be featured.
Tagging @shop.arenas or using #ARENASBABE alone does not grant Arenas a license to use your content outside the ordinary sharing and interaction features made available by the applicable social media platform.
If Arenas would like additional permission to use your content, we may send you a permission request by direct message, automated message, comment, email, or another communication method.
2. Giving Arenas Permission
Our permission request may include a link to these UGC Terms and an option to affirmatively accept or decline.
You grant Arenas permission to use the identified User Content when you affirmatively accept our request, including by:
selecting a “Yes,” “I Agree,” “Yes, Arenas,” or similar affirmative option;
responding with #YESARENAS;
replying in writing that Arenas may use the content; or
otherwise providing clear affirmative consent through an Arenas-authorized UGC permission request.
By providing affirmative consent, you acknowledge that you have read, understood, and agreed to these UGC Terms.
If you decline our request or do not provide affirmative consent, Arenas will not treat the request as permission to use the content under these UGC Terms.
3. License Granted to Arenas
When you affirmatively authorize Arenas to use your User Content, you grant Arenas Boutique and its affiliates, representatives, contractors, service providers, advertising and marketing partners, successors, and assigns a non-exclusive, worldwide, royalty-free, fully paid-up license to use, reproduce, display, publish, repost, distribute, transmit, crop, resize, format, adapt, and otherwise use the authorized User Content in connection with Arenas and its products, services, advertising, promotion, and marketing.
Authorized uses may include, without limitation:
the Arenas Boutique website and online store;
Arenas social media accounts;
organic social media posts;
paid social media and digital advertising;
email and SMS marketing;
product and collection pages;
#ARENASBABE galleries and community features;
promotional campaigns;
digital and online marketing materials; and
other Arenas advertising and promotional materials.
Arenas may make reasonable technical, formatting, or design modifications, including cropping, resizing, adding branding, adapting layouts, or formatting content for different platforms.
Arenas will not intentionally edit authorized content in a manner that materially misrepresents your statements, experience, or opinion.
4. Ownership
You retain ownership of your original User Content.
These UGC Terms do not transfer ownership of your content to Arenas. You are granting Arenas a license to use the content you specifically authorize under these Terms.
5. Voluntary Participation and No Compensation
Participation in #ARENASBABE is voluntary.
Unless you and Arenas separately agree otherwise in writing, you understand and agree that you will not receive payment, royalties, commissions, free merchandise, discounts, reimbursement, or other compensation in exchange for Arenas’ authorized use of your User Content.
Granting permission does not create an employment, partnership, agency, sponsorship, influencer, ambassador, or other business relationship between you and Arenas.
6. Your Rights and Responsibilities
By authorizing Arenas to use User Content, you represent and warrant that:
you are at least 18 years old;
you created the User Content or otherwise have all rights necessary to authorize its use;
you have permission from every identifiable person appearing in the User Content to authorize the uses described in these Terms;
the User Content does not infringe another person’s copyright, trademark, privacy, publicity, intellectual property, contractual, or other rights;
Arenas’ authorized use of the content will not violate any agreement applicable to you or the content;
any review, statement, recommendation, or opinion contained in the User Content reflects your genuine experience and honest opinion; and
you will make any disclosure required by applicable law if you have a material relationship with Arenas.
You agree not to authorize content that is unlawful, defamatory, threatening, harassing, obscene, deceptive, discriminatory, or otherwise violates applicable law or another person’s rights.
7. Other People and Minors
Do not authorize Arenas to use content containing another identifiable person unless you have permission from that person to do so.
If an identifiable person under 18 appears in the content, permission must be provided by that person’s parent or legal guardian before Arenas uses the content under this program.
Arenas may request additional confirmation of parental or guardian authorization and may decline to use content involving minors.
8. Name, Username, Image, Likeness and Voice
When you authorize User Content, you also authorize Arenas to use your social media username or handle, first name, image, likeness, voice, and other identifying information appearing in or accompanying the authorized content when reasonably connected to its authorized use.
Arenas may, but is not required to, tag, identify, or credit you when using authorized User Content.
9. Reviews, Testimonials and Endorsements
Any statement, review, recommendation, or endorsement included in authorized User Content must reflect your honest opinion and actual experience.
If you receive money, free or discounted products, gifts, rewards, commissions, or any other benefit from Arenas in connection with content you create or publish, any required disclosure of that relationship must be made clearly and conspicuously in accordance with applicable law.
Arenas reserves the right not to use content that does not comply with applicable advertising or endorsement requirements.
10. Selection and Use
Tagging @shop.arenas, using #ARENASBABE, or granting permission does not guarantee that your content will be featured.
Arenas has sole discretion to determine whether, where, when, and for how long authorized User Content is used and may discontinue use at any time.
11. Requests to Stop Future Use
You may contact Arenas to request that we discontinue future use of previously authorized User Content.
After receiving and processing a valid request, Arenas will make reasonable efforts to discontinue new uses of that content.
A request to discontinue future use does not necessarily require Arenas to recall, destroy, or remove materials that were already published, distributed, printed, scheduled, incorporated into completed materials or campaigns, or otherwise used before the request was processed, to the extent permitted by applicable law.
12. Privacy
Personal information collected in connection with #ARENASBABE will be handled in accordance with the Arenas Boutique Privacy Policy and applicable law.
Content that you publish publicly on a social media platform may also be subject to that platform’s own terms and privacy practices.
13. Release
To the fullest extent permitted by applicable law, you release and discharge Arenas Boutique and its affiliates, representatives, contractors, service providers, successors, and assigns from claims arising from Arenas’ authorized use of the User Content in accordance with the permission you provided and these UGC Terms, including authorized use of your name, username, image, likeness, or voice.
Nothing in these Terms limits or waives any right or remedy that cannot legally be limited or waived.
14. Changes to These Terms
Arenas may update these UGC Terms from time to time. Updates will be posted on the Arenas Boutique website with a revised “Last Updated” date.
Unless applicable law provides otherwise, the version of the UGC Terms presented or made available when you provide authorization will govern that authorization.

By affirmatively accepting an Arenas UGC permission request, you acknowledge that you have read, understood, and agreed to these #ARENASBABE UGC Terms.
